• Ensure that you exit from your account at the end of each session when accessing the platform from public or shared computers.

• Use CoeLab in a manner that is legal, ethical, and in accordance with these Terms and Conditions and any applicable laws and regulations.

Account Security

You are solely responsible for safeguarding your account password and any authentication credentials. CoeLab will not be liable for any loss or damage arising from your failure to comply with this security obligation.

• Interferes with or disrupts the services or servers or networks connected to the services, or disobeys any requirements, procedures, policies, or regulations of networks connected to the services.

• Service Modifications: CoeLab reserves the right to modify, update, or discontinue any aspect of our services at any time, with or without notice. • Usage Limits: CoeLab may impose limits on certain features or services, such as data storage, number of team members, or message frequency, to ensure the platform's stability and integrity. Any such limitations will be communicated to users within the platform or through official communications.

• Security Threats: Attempting to compromise the security of the CoeLab platform or other users' accounts, including spreading malware or viruses, is strictly prohibited.

CoeLab reserves the right to remove any content that violates these guidelines or the terms and conditions of our platform. Users found engaging in prohibited conduct may face temporary suspension or permanent termination of their account, at our discretion. By using CoeLab, you agree to adhere to these guidelines and conduct rules, contributing to a positive and productive community for all members.

Intellectual Property Rights

Ownership of the Platform's Content and Trademarks

CoeLab and its associated logos, trademarks, graphics, design, text, images, and software used in connection with the platform are the exclusive property of CoeLab or its licensors. All rights, titles, and interest in and to the platform's content, including but not limited to its software, interfaces, and related documentation, are and will remain the exclusive property of CoeLab and its licensors. The use of the platform does not grant users any ownership rights to the content accessed through the service.

User-Generated Content Rights and Permissions

CoeLab allows users to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). By posting User Content on or through the platform, you represent and warrant that you own the User Content or have the right to grant CoeLab a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the platform and CoeLab's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the platform (and derivative works thereof) in any media formats and through any media channels.

You also hereby grant each user of the platform a non-exclusive license to access your User Content through the platform, and to use, reproduce, distribute, display, and perform such content as permitted through the functionality of the platform and under these Terms and Conditions.

​

The above licenses granted by you in User Content you submit to the platform terminate within a commercially reasonable time after you remove or delete your User Content from the platform. You understand and agree, however, that CoeLab may retain, but not display, distribute, or perform, server copies of your User Content that have been removed or deleted.

​

The rights you grant in this license are for the limited purpose of operating, promoting, and improving our platform, and to develop new ones. CoeLab respects the intellectual property rights of others, and we expect our users to do the same.

Subscription Fees and Payments

​

Subscription Plans and Fees

CoeLab offers various subscription plans. Details regarding the services included in each plan, associated fees, and billing cycles are available on the CoeLab platform and during the subscription process.

​

  • Payment Methods: Users can pay for their subscriptions via the accepted credit cards, debit cards, and other electronic payment methods as specified on the CoeLab platform.

  • Billing: Users are billed at the time of sign-up and subsequently on a monthly basis. The date of signing up becomes the recurring billing date.

  • Missed Payments: If a payment is not successfully settled due to expiration of the payment method, insufficient funds, or otherwise, CoeLab will restrict the user’s account. Affected users will retain the ability to view data but will not be able to interact with any features until the missed payment is resolved.

  • Refunds: Users have the right to request a refund within 14 days after initial sign-up. Refund requests must be submitted through the designated method on the CoeLab platform and will be processed according to the prevailing policy.

Cancellation and Termination

​

  • Account Cancellation: Users may cancel their subscription at any time through the account settings directly in the CoeLab app. The cancellation will take effect at the end of the current billing cycle, and the account will not be charged for the following cycle.

  • Continued Service: Upon cancellation, users can continue to use the services until the end of the current subscription cycle.

  • Grounds for Termination: CoeLab reserves the right to terminate or suspend a user’s account for breach of the Terms and Conditions, illegal or fraudulent use of the service, or other grounds as deemed appropriate by the platform. Notice of termination will be provided unless in cases where delaying notice is necessary to prevent possible harm or fraud to other users or the service.

 

Modifications to The Service and Prices

Rights of the Platform to Modify or Discontinue Service

CoeLab reserves the right, at its sole discretion, to modify, suspend, or discontinue, temporarily or permanently, the platform or any service to which it connects, with or without notice and without liability to you. This includes the right to introduce new features, functionalities, or enhancements, as well as the right to remove existing features, functionalities, or services. Such actions may be taken for reasons including, but not limited to, maintaining the integrity of the platform, responding to legal or security issues, and improving user experience. We are committed to ensuring that any changes enhance the platform and the value it provides to our users.

Notification Requirements for Price Changes

CoeLab may also modify the prices for the subscriptions or services offered through the platform. Any price change will be communicated to you before the change becomes effective. We will provide notice of any price changes by posting the new prices on the platform and/or sending you a notification through email or other communication methods provided in your account information.

You will have the opportunity to accept or decline the changes. Continued use of the platform after the price change comes into effect constitutes your agreement to pay the modified amount. If you do not agree with the changes, you have the right to cancel your subscription before the new pricing takes effect.

Please note that any changes to the platform or prices will always consider the interests of our community, aiming to provide the best possible service to support your athletic training and management needs.

Warranties and Disclaimers

CoeLab provides the platform and its services "as is" and "as available," without warranty of any kind, either express or implied. While we strive to provide a high-quality, secure, and uninterrupted experience, we cannot guarantee that the service will always be secure, error-free, or uninterrupted, nor can we ensure that any content, user content, or information you obtain on or through the platform will be accurate or reliable.

We expressly disclaim all warranties and conditions of any kind, whether express or implied, including but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement. No advice or information, whether oral or written, obtained from CoeLab or through the platform, will create any warranty not expressly made herein.

Furthermore, CoeLab does not warrant that:

• The platform will meet your specific requirements or expectations.

• The operation of the platform will be uninterrupted, timely, secure, or error-free.

• The results that may be obtained from the use of the platform will be accurate or reliable.

• The quality of any products, services, information, or other material purchased or obtained by you through the platform will meet your expectations.

• Any errors in the service will be corrected.

Any content downloaded or otherwise obtained through the use of our platform is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such content.

Limitation of Liability

In no event will CoeLab, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if CoeLab has been advised of the possibility of such damages), resulting from:

• The use or the inability to use the platform or any services provided through the platform;

• The cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from the platform;

• Unauthorized access to or alteration of your transmissions or data;

• Statements or conduct of any third party on the service;

• Any other matter relating to the service.

CoeLab's total liability to you for all damages, losses, and causes of action (whether in contract, tort (including negligence), or otherwise) will not exceed the amount you have paid CoeLab in the 12 months preceding the claim or $100, whichever is greater.

The limitation of liability herein is a fundamental element of the basis of the bargain between CoeLab and you. The platform and its services would not be provided without such limitations. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless CoeLab, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms and Conditions, any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the platform using your account, or from your violation of any rights of a third party.

This indemnification obligation will survive the termination of your account or use of CoeLab and encompasses claims arising out of or related to your use of the platform, your content, your violation of these Terms and Conditions, or your violation of any rights of another individual or entity.

This section is designed to protect CoeLab and its affiliates from legal claims and expenses that arise from users' misuse of the platform, including but not limited to breaches of the Terms and Conditions, infringement of intellectual property rights, and other actions connected with the use of CoeLab. By using the platform, you acknowledge your responsibility to prevent burdening CoeLab with the costs associated with your misuse or unauthorized use of the platform.

Dispute Resolution

Governing Law

Arbitrators can award the same damages and relief that a court can award. Our agreement to arbitrate disputes includes, but is not limited to, all claims arising out of or relating to any aspect of these Terms and Conditions, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether the claims arise during or after the termination of these Terms and Conditions.

Notwithstanding the above, we both agree that you or CoeLab may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

General Provisions

Assignment

You may not assign or transfer these Terms and Conditions, by operation of law or otherwise, without CoeLab's prior written consent. Any attempt by you to assign or transfer these Terms and Conditions, without such consent, will be null and of no effect. CoeLab may assign or transfer these Terms and Conditions, at its sole discretion, without restriction. Subject to the foregoing, these Terms and Conditions will bind and inure to the benefit of the parties, their successors, and permitted assigns.

Entire Agreement

These Terms and Conditions constitute the entire agreement between you and CoeLab regarding the use of the platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter. The headings in these Terms and Conditions are for reference only and do not affect the interpretation of these Terms.

Enforceability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms and Conditions will continue in full force and effect. However, it is the responsibility of the user to ensure that their use of CoeLab and any related activities conform to the regulations set forth by their respective sports organizations and governing bodies. CoeLab makes no representation that its content or services are in alignment with the specific rules of any sports governing body unless explicitly stated.

User Conduct in Line with Sportsmanship and Community Standards
